By accessing and using Modular Mail ("Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including visitors, registered users, and paying subscribers.
Modular Mail is an Email Content Management System (CMS) that enables users to create, manage, and export email templates and campaigns. The Service allows you to build email content using pre-configured modules and export clean HTML for use with third-party email service providers (ESPs). We do not send emails on your behalf; we provide tools to create email content.
To use certain features of the Service, you must register for an account. You agree to:
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
Our Service operates on a workspace-based model. Each workspace represents a subscription unit and may contain multiple users with different permission levels. Workspace owners and administrators are responsible for managing team members, access controls, and compliance with these Terms by all workspace users.
Modular Mail offers subscription-based access to the Service. By subscribing, you agree to the following:
Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period. You will retain access to the Service until that date.
No Refunds: All payments are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or unused time on a subscription. If you cancel, you will not receive a refund for the current billing period.
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You agree NOT to:
We reserve the right to investigate violations and cooperate with law enforcement authorities. Violation of this policy may result in immediate account termination without refund.
Your Content: You retain all ownership rights to the email content, templates, and campaigns you create using the Service ("User Content"). You are solely responsible for your User Content and the consequences of posting or publishing it.
License to Us: By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing and improving the Service.
Content Responsibility: You represent and warrant that you own or have the necessary rights to use and authorize us to use all User Content, and that your User Content does not violate these Terms or any applicable laws.
The Service, including its software, design, graphics, user interface, and all content provided by us, is owned by Modular Mail and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
"Modular Mail" and associated logos are trademarks of Modular Mail. You may not use our trademarks without prior written consent.
You may export your email templates and campaigns as HTML at any time through the Service interface. We are ESP-agnostic and do not lock your content to our platform. Upon account termination, you should export all data you wish to retain, as we are not obligated to provide data exports after termination.
We strive to provide reliable service but cannot guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of planned maintenance.
Support is provided to paying subscribers via email at support@modular-mail.com. We aim to respond to support requests within 48 hours during business days.
No Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODULAR MAIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Modular Mail and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise harmful to our business interests.
Upon termination, your right to use the Service will immediately cease. We may delete your account data following a reasonable grace period, typically 30 days after termination. You are responsible for exporting any data you wish to retain before termination.
The Service may integrate with or link to third-party services and websites. We are not responsible for the content, policies, or practices of third-party services. Your use of third-party services is subject to their respective terms and policies.
We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating litigation, you agree to first attempt to resolve any dispute informally by contacting us at support@modular-mail.com.
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Modular Mail regarding the Service and supersede all prior agreements and understandings.
